Independent Energy Hawaii SolarServe Membership Terms and Conditions

These Terms and Conditions (“Agreement”) govern participation in the SolarServe Membership Program (“Membership”) offered by Independent Energy Hawaii LLC (“Company,” “we,” “us,” or “our”).
By enrolling in the SolarServe Membership, you agree to be bound by the terms outlined below.
1. Description of Services
The IEH SolarServe Membership provides homeowners with ongoing solar system support services designed to help maintain the performance and reliability of their solar energy system.
Services may include, but are not limited to:
• Solar panel cleaning
• System performance checks
• Site visits for diagnostics and inspection
• Monitoring assistance and troubleshooting
• Member support and consultation
Membership benefits vary depending on the plan selected.
Services are intended to support system maintenance and performance but do not guarantee system production levels or uninterrupted operation.
Additional work that cannot be resolved during an included service visit will be quoted and billed separately on an à la carte basis.
2. Membership Term and Renewal
SolarServe Membership is a subscription-based service with a minimum commitment period to ensure fair provision of Services, including site visits and panel washes, which require upfront investment by the Company.
Minimum Term
All Memberships require a minimum initial term of twelve (12) months from the effective enrollment date (“Initial Term”).
During the Initial Term, the Membership may not be canceled or terminated, except as provided under Section 4 of this Agreement.
Renewal
After the Initial Term:
• Monthly memberships automatically renew month-to-month
• Annual memberships automatically renew annually
Renewal will occur automatically unless you provide written notice of non-renewal at least thirty (30) days before the end of the current term.
3. Service Scheduling
Included service visits, inspections, or panel cleaning services will be scheduled at mutually agreed upon times during the Membership term.
Services provided as part of the Membership:
• Are non-refundable
• Are non-transferable
• Cannot be redeemed for cash value
If weather, safety conditions, or operational constraints prevent service, appointments may be rescheduled.
4. Cancellation and Termination
Cancellation After Initial Term
After the Initial Term has been completed, you may cancel your Membership by providing thirty (30) days written notice via:

Cancellation becomes effective at the end of the billing cycle following the notice period.
No refunds will be issued for partial months or unused services.
Early Termination During Initial Term
If you terminate the Membership during the Initial Term for any reason other than a material breach by the Company, you will be responsible for an early termination fee equal to the remaining unpaid fees for the Initial Term.
The early termination fee is calculated based on the monthly rate, even if you selected annual billing.
This fee compensates the Company for services already provided or scheduled, including but not limited to:
• Panel cleaning
• Site visits
• System onboarding and setup
• Administrative costs
Termination by the Company
The Company may terminate your Membership:
• For non-payment
• For breach of this Agreement
• For safety or access issues preventing service
• Or for any reason with thirty (30) days written notice
If termination occurs due to your breach, you remain responsible for:
• All outstanding charges
• Any applicable early termination fees
5. Payment Terms
Billing
• Monthly plans are billed on the same day each month as the enrollment date.
• Annual plans are billed in full on the enrollment date and each yearly anniversary.
Payment Authorization
By enrolling, you authorize Independent Energy Hawaii to automatically charge the payment method you provide.
You are responsible for maintaining current and valid payment information.
Late Payments
If payment fails or becomes delinquent:
• Services may be suspended
• A late fee of 1.5% per month (or maximum allowed by law) may apply
If payment is more than fifteen (15) days late, the Company may:
• Suspend services
• Charge a $25 reinstatement fee
6. Additional Service Work
Membership service visits are intended for routine maintenance and diagnostics.
If additional repairs, system upgrades, electrical work, or troubleshooting require more extensive labor or materials than can be completed during the included service visit, such work will be:
• Quoted separately
• Approved by the customer before work begins
• Billed on an à la carte basis
Membership does not include replacement equipment, electrical upgrades, or major system repairs unless explicitly stated.
7. Service Limitations and Disclaimers
Services are provided “as is” without warranties of any kind, express or implied, including but not limited to:
• Merchantability
• Fitness for a particular purpose
• Non-infringement
Independent Energy Hawaii does not guarantee:
• Continuous solar system performance
• Monitoring uptime
• Production levels
Limitation of Liability
To the maximum extent permitted by law, Independent Energy Hawaii shall not be liable for indirect, incidental, consequential, or punitive damages arising from participation in the SolarServe Membership.
Our total liability under this Agreement shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.
8. Force Majeure
Independent Energy Hawaii is not responsible for delays or failure to perform services due to circumstances beyond our control, including but not limited to:
• Severe weather
• Natural disasters
• Supply chain disruptions
• Labor shortages
• Government actions
• Public health emergencies
9. Governing Law
This Agreement is governed by the laws of the State of Hawaii, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved exclusively in the courts of Honolulu County, Hawaii.
10. Amendments
Independent Energy Hawaii reserves the right to amend these Terms and Conditions.
Members will be provided thirty (30) days notice of any changes.
Continued participation in the Membership after the notice period constitutes acceptance of the updated terms.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or representations related to the SolarServe Membership.
12. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Assignment
You may not assign or transfer this Agreement without written consent from Independent Energy Hawaii.
The Company may assign this Agreement freely.
14. Notices
All official notices must be sent in writing to the contact information provided during enrollment.
