SolarServe Membership Agreement
Effective: 04/01/2026
This SolarServe Membership Agreement (“Agreement”) is entered into by and between Independent Energy Hawaii LLC (“Company,” “we,” “us,” or “our”) and the enrolling member (“Member,” “you,” or “your”).
By enrolling in the SolarServe Membership Program, you agree to be bound by the following terms and conditions.
Membership Enrollment Details
- Selected Plan: Standard or Premium
- Membership Start Date: At time of enrollment
- Billing Preference: Monthly or Annual
SolarServe Membership Overview
Membership benefits vary depending on your selected plan and may include:
- System monitoring and alerts
- Service calls
- System health checks
- Panel cleaning services
- Response time prioritization
- Labor discounts
- Warranty support services
All services are designed to support system performance and longevity but do not guarantee energy production levels or uninterrupted system operation.
1. Description of Services
SolarServe Membership provides ongoing solar system maintenance and support services, which may include:
- Solar panel cleaning
- System performance checks
- Diagnostics and inspection visits
- Monitoring assistance and troubleshooting
- Member support and consultation
Services are intended to maintain system performance and reliability. Any additional work beyond the scope of included services will be quoted separately and billed on an à la carte basis.
2. Membership Term and Renewal
All memberships require a minimum initial term of twelve (12) months from the enrollment date (“Initial Term”).
During the Initial Term:
- Membership cannot be canceled except as outlined in Section 4.
After the Initial Term:
- Monthly plans renew automatically month-to-month
- Annual plans renew automatically each year
To prevent renewal, written notice must be provided at least 30 days prior to the end of the current term.
3. Service Scheduling
All included services will be scheduled at mutually agreed-upon times.
- Services are non-refundable and non-transferable
- Services cannot be redeemed for cash value
- Appointments may be rescheduled due to weather, safety, or operational conditions
4. Cancellation and Termination
After Initial Term
You may cancel with 30 days’ written notice by emailing:
service@independentenergyhawaii.com
- Cancellation becomes effective at the end of the next billing cycle
- No refunds for partial billing periods or unused services
During Initial Term
Early termination will result in a fee equal to:
- Remaining unpaid fees for the full 12-month term
- Calculated at the monthly rate, even if billed annually
Termination by Company
We may terminate your membership for:
- Non-payment
- Breach of agreement
- Safety or access issues
- Any reason with 30 days’ notice
All outstanding balances and applicable fees remain due.
5. Payment Terms
- Monthly plans are billed on the enrollment date each month
- Annual plans are billed in full at enrollment and each anniversary
By enrolling, you authorize automatic billing to your provided payment method.
If payment fails:
- Services may be suspended
- A late fee of 1.5% per month may apply
- Accounts over 15 days late may incur a $25 reinstatement fee
6. Additional Service Work
Membership services cover routine maintenance and diagnostics only.
The following are not included and will be billed separately:
- Repairs or replacements
- Electrical work or upgrades
- Major troubleshooting
- Equipment replacement
All additional work requires prior approval.
7. Existing Installation Conditions and Roof Disclaimer
The Company is not the original installer of your solar system.
Existing components including:
- Roof structure
- Racking and mounting systems
- Panels and hardware
may be aged or in unknown condition.
To perform services, technicians may:
- Access the roof
- Adjust or remove panels
- Modify mounting components
By enrolling, you acknowledge and accept all risks related to the existing system condition.
To the fullest extent permitted by law, the Company is not liable for:
- Roof damage
- Leaks or structural issues
- Mounting or hardware failure
- Any damage related to pre-existing conditions
Any repairs required will be billed separately with approval.
This section survives termination of the Agreement.
8. Service Limitations and Liability
All services are provided “AS IS” without warranties of any kind.
We do not guarantee:
- System uptime
- Monitoring availability
- Energy production levels
Limitation of Liability
The Company’s total liability is limited to:
- The total fees paid in the 12 months prior to a claim
We are not liable for:
- Indirect damages
- Consequential damages
- Loss of energy production
- Any incidental losses
9. Force Majeure
We are not responsible for delays or failure to perform due to events beyond our control, including:
- Severe weather
- Natural disasters
- Supply chain disruptions
- Labor shortages
- Government actions
10. Governing Law
This Agreement is governed by the laws of the State of Hawaii.
All disputes will be handled in the courts of Honolulu County, Hawaii.
11. Amendments
We reserve the right to update these terms at any time.
- Members will receive 30 days’ notice
- Continued use of the service constitutes acceptance
12. Entire Agreement
This Agreement represents the full understanding between both parties and supersedes all prior agreements.
13. Severability
If any part of this Agreement is deemed invalid, all remaining sections remain enforceable.
14. Assignment
- You may not transfer this Agreement without written consent
- The Company may assign this Agreement freely

Acceptance of Agreement
By enrolling in the SolarServe Membership, you acknowledge that you have read, understood, and agreed to all terms outlined above, including:
- 12-month minimum term
- Automatic renewal
- Early termination fees
- Payment authorization
- Service limitations
